Executive committees are beneficial for non-profit organizations who must complete their tasks quickly and efficiently. However, some boards might struggle with the line between an executive committee and the board of directors.

The executive committee is comprised of board members who act as the board’s eyes and ears during meetings, and are accountable for handling urgent matters. They usually consist of 3-7 members.

The executive committee is usually comprised of a vice-chairperson and a secretary. The function of the chairperson is to steer the committee and to be the voice of the board. The vice-chairperson assists the chairperson in their duties and may also serve as a substitute when needed. The secretary keeps meeting minutes, maintains a committee calendar and ensures that all members have access to committee documents.

The executive committee is a part of the board but still has the authority to direct the business. King suggests that boards be cautious about delegating tasks to an executive panel, to avoid creating a negative”two-tier” power structure where the committee is empowered to make decisions which by statute or constitution belong to the board.

An executive committee can be a valuable tool for nonprofits, especially when it’s not practical for the board to meet in person to address urgent issues. The executive committee is a platform for leaders who are close to the organization via their leadership, to make decisions in key areas like high-level workplace issues, organizational oversight and development of the board.
